Terms of Service
These Terms of Service ("Terms") govern your use of the Kippy mobile application and web platform at usekippy.com and app.usekippy.com (collectively, the "Service"), operated by Kippy ("we," "us," or "our").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use Kippy.
The Service
Kippy is a tour management platform for the live music industry. It provides tools for managing schedules, guestlists, team coordination, professional networking, and related workflows across organizations.
Kippy is currently in beta. Features, availability, and pricing may change as we develop the platform. We appreciate your patience and feedback during this period.
Accounts
You must create an account to use Kippy. When you do, you agree to:
- Provide accurate information (name, email, and any profile details you choose to share)
- Keep your login credentials secure and not share them with others
- Notify us promptly if you suspect unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
You must be at least 13 years old to use Kippy. If you are under 18, you represent that you have your parent or guardian's consent.
We may suspend or terminate accounts that violate these Terms, at our discretion.
Free and Paid Plans
Kippy offers a free tier and a paid Creator tier. Details of what each plan includes are described on our website and within the app.
Creator Subscriptions
Creator subscriptions are billed monthly or annually through Stripe, our payment processor. By subscribing, you agree to the following:
- You authorize recurring charges at the rate displayed at checkout until you cancel
- Monthly subscriptions renew each month; annual subscriptions renew each year
- You can cancel at any time through your account settings or the Stripe customer portal — your access continues through the end of the current billing period
- Refunds are handled on a case-by-case basis and are not guaranteed
- If your payment fails, we may restrict access to Creator features after a grace period
Pricing may change with notice. If we increase prices, we will notify you before your next billing cycle, and you may cancel if you do not accept the new pricing.
Free Tier
Free accounts may create one organization and use core features. Free accounts cannot invite members to organizations or access Creator-tier features. We reserve the right to modify free tier limitations over time.
Your Content
You retain ownership of all data, documents, and content you create or upload to Kippy ("Your Content"). We do not claim ownership of Your Content.
By using the Service, you grant us a limited license to store, process, display, and transmit Your Content solely as necessary to operate the Service — for example, storing your schedule data so your team members can view it, or delivering your uploaded documents to organization members with appropriate access.
You are responsible for Your Content. You agree not to upload content that you do not have the right to share, or that violates any law.
Acceptable Use
You agree not to use Kippy to:
- Violate any law or regulation
- Harass, threaten, or harm other users
- Impersonate another person or organization
- Distribute spam, malware, or malicious content
- Attempt to gain unauthorized access to other accounts, systems, or data
- Interfere with the operation of the Service
- Scrape, crawl, or use automated tools to extract data from the Service without permission
- Use the Service for any purpose unrelated to its intended function as a professional tour management tool
We may suspend or terminate your account if you violate these terms.
Intellectual Property
The Kippy name, logo, and the design and code of the Service are owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our branding or proprietary materials, other than the right to use the Service as intended.
Third-Party Services
Kippy integrates with third-party services including Stripe (payments), Supabase (infrastructure), Google Places (venue search), Expo (notifications), and Resend (email). Your use of these services through Kippy is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.
Availability and Changes
We strive to keep Kippy available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.
We may modify, add, or remove features at any time. During the beta period, changes may occur more frequently. We will make reasonable efforts to communicate significant changes in advance.
Termination
You may stop using Kippy and delete your account at any time through the app's settings.
We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. If we terminate your account without cause, we will provide reasonable notice when possible.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including ownership, indemnification, limitation of liability, and dispute resolution) will continue to apply.
Disclaimers
Kippy is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be error-free, secure, or uninterrupted. During the beta period, you acknowledge that the Service is under active development and may contain bugs or incomplete features.
Limitation of Liability
To the maximum extent permitted by law, Kippy and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
Our total aggregate liability for any claims relating to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
Indemnification
You agree to indemnify and hold harmless Kippy and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Dispute Resolution
These Terms are governed by the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property matters. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice in the app or sending an email. The "Last Updated" date at the top indicates when these Terms were last revised.
Your continued use of Kippy after changes are posted constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service and delete your account.
